01 Acceptance of Terms
By accessing this website, contacting us, or entering into a service agreement with Digital Vyapar Mitra (operating as LeadForge Pro), you confirm that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy.
If you do not agree to these terms, please do not use our services. These terms apply to all clients, visitors, and users of our website and services.

02 Services Description
Digital Vyapar Mitra provides digital growth services for local businesses, including but not limited to:
- Design and development of 2โ3 page static websites
- Meta (Facebook/Instagram) and Google Ads campaign management and optimisation
- Google Business Profile (GBP) setup, optimisation, and ongoing management
- Lead generation funnel creation and management
- AI-powered chatbot setup and training (Domination plan)
- Automated Google review reply system (Domination plan)
- Monthly/bi-weekly performance reporting and strategy calls
Specific deliverables, timelines, and scope are defined in the service plan selected at the time of engagement. Any services not explicitly listed in your plan require a separate written agreement.
03 Client Responsibilities
To ensure the success of our engagement, clients agree to:
- Provide accurate, truthful, and complete business information during onboarding
- Grant necessary access to ad accounts, websites, GBP profiles, and relevant platforms within 5 business days of onboarding
- Respond to communications, review requests, and approval requests within 48 hours during active campaigns
- Provide timely approval for ad creatives, website content, and campaign materials
- Maintain sufficient ad budget in your Meta and Google accounts (see Section 7)
- Notify us of any business changes that may affect campaigns (hours, services, promotions, closures)
- Not engage other agencies or contractors to work on the same ad accounts, GBP, or website without our knowledge
Failure to meet these responsibilities may result in delayed deliverables, reduced campaign performance, or suspension of services without refund.
04 Payments & Billing
Monthly Retainer
All service plans are billed on a monthly basis. Payment is due on or before the 1st of each service month. Services for the upcoming month will not commence until payment is received.
Onboarding / Setup Fee
A one-time onboarding fee may apply depending on the scope of initial setup required (website build, ad account configuration, GBP setup). This is separate from the monthly retainer and is payable before work begins.
Payment Methods
- Bank transfer / NEFT / IMPS (India)
- UPI payment
- International wire transfer (for overseas clients)
- Other methods as agreed in writing
Late Payments
Payments more than 7 days overdue may result in suspension of all active campaigns and services. A late fee of 2% per week may be applied to overdue balances. Services will be reinstated within 24 hours of payment receipt.
Important: Ad spend charged by Meta and Google is billed directly to your ad accounts and is entirely separate from our management fee. You are solely responsible for ensuring sufficient budget in those accounts.
05 Cancellation Policy
Client-Initiated Cancellation
You may cancel your service plan at any time with 30 days' written notice sent to info@digitalvyaparmitra.com or via WhatsApp to +91 74820 15329. Services will continue through the end of your current paid period.
- No cancellation fees or penalties apply
- All campaign data, reports, and access credentials will be returned to you within 5 business days of cancellation
- Your website files and ad account access will be transferred back to you in full
- Refunds are not issued for partial months already billed
30-Day Satisfaction Guarantee
If after the first 30 days of active service you are not seeing measurable improvement in your agreed KPIs, we will work with you at no additional cost for an additional 30 days to make it right. If you are still unsatisfied, you may cancel with no further obligation.
Company-Initiated Cancellation
We reserve the right to terminate services with 14 days' notice if a client repeatedly violates these terms, engages in abusive conduct toward our team, or provides false information that materially affects our ability to deliver results.
06 Intellectual Property
Client Ownership
- You own your website, its content, and all brand assets you provide to us
- Upon full payment, all website files, ad creatives produced for your campaigns, and written content are transferred to you
- You own your ad accounts, GBP profile, and all data within them
Our Proprietary Assets
- Our systems, frameworks, processes, templates, and methodologies remain the exclusive property of Digital Vyapar Mitra
- You may not replicate, resell, or licence our systems, frameworks, or processes without written permission
- General marketing knowledge and strategies taught during consultations are yours to apply freely
Client-Provided Content
You warrant that any content, images, logos, and copy you provide to us are either owned by you or properly licensed, and that their use in your marketing does not infringe any third-party rights. You indemnify us against any claims arising from content you provide.
07 Ad Spend & Budgets
Ad spend is the money paid directly to Meta and Google to run your advertisements. It is entirely separate from our management fee and is the client's sole responsibility.
- We recommend a minimum ad spend of โน40,000โโน80,000/month ($500โ$1,000 USD) for meaningful results
- Ad spend is charged directly to your Meta and Google ad accounts โ we do not collect or hold ad budgets
- We will never increase your ad spend without your explicit approval
- We are not liable for ad spend consumed during any period of technical issues on Meta or Google's platforms
- Pausing or reducing ad spend below recommended levels may significantly reduce results during that period
08 Results Disclaimer
While we have a strong track record of delivering measurable results for local businesses, we cannot and do not guarantee specific outcomes including:
- A specific number of leads, calls, or conversions per month
- A specific Google Maps ranking position or timeline
- A specific cost per lead or return on ad spend
- A specific revenue increase or business growth outcome
Note: Digital marketing results are influenced by many factors outside our control, including your market, competition, pricing, business reputation, seasonality, and platform algorithm changes. Our case studies and testimonials represent real client results but are not guarantees of your specific outcomes.
We commit to applying our best expertise, data-driven strategies, and ongoing optimisation to maximise your results within the constraints of your market and budget.
09 Confidentiality
Both parties agree to maintain strict confidentiality regarding:
- Business strategies, pricing, and financial information shared during the engagement
- Campaign performance data, lead volumes, and conversion rates
- Any proprietary systems, tools, or methodologies shared by either party
- Client lists and business relationships
We will not disclose your business information to third parties except as required to deliver our services (e.g. ad platforms, payment processors) or as required by law. We may use anonymised or aggregated data for case studies with your prior permission.
10 Limitation of Liability
To the fullest extent permitted by law, Digital Vyapar Mitra's total liability to you for any claim arising from or related to these Terms or our services shall not exceed the total fees paid by you in the 3 months preceding the claim.
We are not liable for:
- Indirect, incidental, special, or consequential damages of any kind
- Loss of revenue, profits, or business opportunities
- Losses arising from platform outages, algorithm changes, or policy violations by Meta or Google
- Errors, interruptions, or delays outside of our reasonable control
- Actions taken by third-party services or platforms we use on your behalf
11 Termination
Either party may terminate the service agreement in accordance with the cancellation terms in Section 5. Upon termination:
- All active ad campaigns will be paused within 24 hours of the termination effective date
- All login credentials, access rights, website files, and data will be transferred back to the client
- Final reports covering the most recent service period will be delivered within 5 business days
- Outstanding invoices remain due and payable regardless of termination reason
- Confidentiality obligations survive termination and remain in force indefinitely
12 Governing Law
These Terms of Service are governed by and construed in accordance with the laws of India. Any disputes arising from or relating to these terms or our services shall be subject to the exclusive jurisdiction of the courts in India.

13 Amendments
We reserve the right to update these Terms of Service at any time. When material changes are made:
- The "Last Updated" date will be revised at the top of this document
- Active clients will be notified via email at least 14 days before changes take effect
- A notice will be posted on our website
Continued use of our services after the effective date of any changes constitutes your acceptance of the revised terms. If you do not agree to the revised terms, you may cancel with 30 days' notice per Section 5.
